# Mark Thompson Stays at CNN, Courtesy of the Network’s New Owners and Its Cash Flow

When someone buys the company you work for, there is really only one question, and it is not about strategy or synergies. It is: do I still have a job? On Monday, CNN got its answer: yes, at least at the top. Mark Thompson, who has run CNN since October 2023, will stay on as chairman and editor-in-chief once Paramount’s roughly $110 billion acquisition of Warner Bros. Discovery closes on Tuesday. The combined company, to be called Skydance, announced its leadership lineup Monday morning, with Thompson reporting to CEO David Ellison and co-CEO Ynon Kreiz, the former Mattel chief.

Thompson announced his own retention in a memo to staff, which is a genre of corporate communication in which the author must simultaneously reassure employees, flatter the new owners and not promise anything he can’t deliver. He threaded it. “I’m convinced that from David Ellison on down, Paramount Skydance leadership really does believe in news alongside entertainment as a top strategic opportunity for our new company,” he wrote, adding that he has “real confidence” the new owners “fully support the principle and practice of the kind of independent news that CNN has always stood for.” He also allowed that he’d “had the odd moment or two” of trepidation himself, which, given the circumstances, is admirably British understatement.

## Why the trepidation

The circumstances are worth laying out. President Donald Trump said last December that “it’s imperative that CNN be sold,” which is an unusual thing for a president to have a view on. Defense Secretary Pete Hegseth said in March that “the sooner David Ellison takes over that network, the better.” Trump, Hegseth and other officials attended an off-the-record dinner with David Ellison and Paramount leadership in April, according to CNN’s reporting. Trump’s Justice Department approved the merger in June over the misgivings of career staff, per the Wall Street Journal, and Larry Ellison — David’s father, the Oracle billionaire and longtime Trump ally — looms over the whole thing. Ellison has broadly denied any interest in interfering politically in newsrooms under his control. You can see why the staffers had questions.

Then there is CBS News, now CNN’s corporate sibling. Ellison bought The Free Press, the site Bari Weiss co-founded, for about $150 million and installed Weiss — a former New York Times opinion editor with no prior TV news experience — as CBS News editor-in-chief last October. Her tenure has produced accusations of editorial interference from ousted correspondents (which she denies), months of bad press, struggling ratings on key newscasts, and — to be fair, and CNN’s own account is fair on this — a string of reporting wins and new ventures, including hard-hitting stories about the Trump administration. Weiss keeps her job too; Monday’s announcement says CBS News and CNN will operate separately for the time being.

“For the time being” is pulling some weight there. Thompson told a September town hall, “Don’t jump to conclusions that we become one with CBS News,” per a person familiar with the meeting. But CNN’s own reporting notes that some cross-pollination, and possibly a full merger of the news divisions, is expected eventually. Thompson’s memo concedes that the specifics of how CNN plugs into Skydance “have yet to be finalized — hardly surprising given that serious discussions could only begin after Paramount’s anti-trust settlement a few days ago.”

## The board-shaped guardrail

That settlement is its own story. Democratic state attorneys general sued to block the merger — 12 states, per Business Insider — and the deal cleared after a settlement agreed on September 21. The consent terms include an independent editorial board monitoring both CNN and CBS News. Business Insider describes it as reporting to the corporate board through the chief compliance officer; CNN’s reporting describes a five-member body meant to uphold editorial standards and resolve disputes, which Skydance has six months to staff. An editorial independence board created by antitrust settlement, reporting through a compliance officer, is either a meaningful check on an owner with political incentives or an organogram, depending on how the next few years go.

The rest of the lineup, per Skydance’s release: Casey Bloys of HBO becomes co-chair and chief content officer of the direct-to-consumer division (HBO Max, Paramount+), with George Cheeks doing the same for the broadcast and cable side, and JB Perrette co-chairing both. Andy Gordon becomes president, Dennis Cinelli stays CFO, Dana Goldberg and Josh Greenstein run film, and James Gunn and Peter Safran keep DC Studios. Ellison said the leaders “share a deep respect for the creative process and a belief that great stories have the power to entertain, unite and inspire audiences around the world,” which is a sentence that could have been written by the streaming service they now all share.

And here is the mechanism underneath the warm words. Skydance, per CNN’s reporting, is saddled with an enormous amount of debt and will need the cash flow from profitable channels like CNN to fund its restructuring. Keeping Thompson — and keeping CNN’s audience — is not just a statesmanlike gesture toward editorial independence. It is also what you do when the asset paying the bills is the one the president keeps talking about on television.
